Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Application

means the software program provided by the Company downloaded by You on any electronic device, TrullyCapital App.

Application Store

means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.

Affiliate

means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Purchase

If you wish to purchase any product or service made available through our Service ("Purchase"), you may be asked to provide certain information relevant to your Purchase, including but not limited to your credit or debit card number, the expiration date of your card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any card(s) or other payment method(s) in connection with any Purchase; and (ii) the information you provide to us is true, correct, and complete.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, errors in your order, or other reasons. We also reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Demo

Upon your request, we may provide a demonstration of the Service ("Demo") for evaluation purposes only. Demos grant limited, time-bound access to the Service's features, and data may not be retained without a paid subscription. We may or may not offer support during the Demo period. You agree to keep Demo information confidential, including features and pricing, and grant us the right to use any feedback you provide. The Demo is provided "as is" without warranties. Subscriptions

Our Service offers subscription-based plans ("Subscriptions") with advance billing on a recurring cycle ("Billing Cycle") determined by your chosen plan. Subscriptions may automatically renew unless canceled by you or us, depending on the specific terms of your chosen plan and whether you have opted into automatic renewal. You can cancel anytime through your account page or by contacting us through our contact page. A valid payment method and accurate billing information are required. By providing payment information, you authorize us to charge all fees to your account. We may terminate Service access for failed automatic billing.

Fee Changes

We may modify our subscription fees at any time. We will provide reasonable notice of any fee changes, giving you an opportunity to cancel your subscription before the change takes effect. If you continue to use the Service after the fee change, you agree to pay the modified amount.

Fee changes may include, but are not limited to, changes to the price of a subscription plan or the introduction of new pricing tiers. We'll give you fair warning before any subscription price changes. This gives you a chance to cancel your subscription before the new price kicks in.

Refunds

All purchases are final and non-refundable. If you believe that we have charged you in error, you must contact us within thirty (30) days of such charge. No refunds will be given for any charges more than thirty (30) days old. We reserve the right to issue refunds or credits at our sole discretion. If we issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.

Content

Our Service's content is the property of TrullyCapital and is protected by copyright and other intellectual property laws. You may not distribute, modify, transmit, reuse, download, repost, copy, or use the content for any commercial purpose or personal gain without our express written permission.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of TrullyCapital and its licensors. The Service is protected by copyright, trademark, and other laws of India and foreign countries.

User License

You have a limited, non-exclusive, non-transferable license to use our Services. This license is for the duration of your subscription and in accordance with these Terms and our Privacy Policy. You may not resell, sublicense, or share your account. Competitors of TrullyCapital are prohibited from accessing the Service without our prior written consent. Any violation will result in immediate account termination.

Prohibited Uses

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to:

• Violate any applicable laws or regulations.
• Exploit, harm, or attempt to exploit or harm minors.
• Transmit any advertising or promotional material without our prior written consent.
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.

Age Restriction

You must be at least 18 years old to use the Service. By accessing or using the Service, you represent and warrant that you are at least 18 years of age. If you are under the age of 18, you must not use the Service.

Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by TrullyCapital. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, if you breach any terms of these Terms and Conditions. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

Limitation of Liability

In no event will TrullyCapital, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service.
• Any unauthorized access to or use of our servers or any personal information stored therein.
• Any interruption or cessation of transmission to or from the Service.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Service will be uninterrupted, secure, or free from errors, defects, or viruses. We make no warranty regarding the Service's availability or reliability and disclaim all other warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Governing Law

These Terms will be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Disputes Resolution

Any dispute or claim arising out of or in connection with these Terms will be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of 1996.

For European Union (EU) Users

If you are a European Union consumer, you are entitled to the protection of certain mandatory provisions of the law in your country of residence.

United States Legal Compliance

You represent and warrant that you are not located in a country that is subject to a government embargo or that has been designated by the government as a terrorist-supporting country, and that you are not listed on any government list of prohibited or restricted parties.

Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in full effect. Failure to enforce any part of these Terms will not be deemed a waiver of such provision.

Translation Interpretation

These Terms may have been translated if We have made them available to You. You agree that the original English text will prevail in the event of any conflict between the translated versions.
